These Terms of Use (“Terms”) govern your access to and use of the website located at pm-resources.com and the PM Resources Client Portal (collectively, the “Platform”), operated by PM Resources Sdn Bhd (Company No. 199801001234), Suite 7-05, Level 7, Wisma UOA II, Jalan Pinang, 50450 Kuala Lumpur, Malaysia (“PM Resources”, “we”, “our”, or “us”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Platform immediately. We reserve the right to update these Terms at any time; continued use following notice of changes constitutes acceptance.

1. Eligibility & Access

The Platform is intended for use by business professionals and corporate entities. By using the Platform, you represent that you are at least 18 years of age and have the legal authority to accept these Terms on behalf of yourself or the organisation you represent. Access to the Client Portal is restricted to authorised clients of PM Resources. Sharing login credentials with unauthorised parties is strictly prohibited.

2. Client Portal — Authorised Use

The Client Portal grants registered users access to HR updates, downloadable resources, and service information published by PM Resources. As an authorised user, you agree to:

• Use the portal solely for your internal business purposes in connection with services provided by PM Resources.
• Keep your login credentials strictly confidential and notify us immediately of any unauthorised access or security breach.
• Not share, distribute, republish, or commercially exploit any content accessed through the portal without our prior written consent.
• Not attempt to access any account, data, or system other than your own authorised account.
• Provide accurate and up-to-date registration information and promptly update it when changes occur.

PM Resources reserves the right to suspend or terminate portal access immediately if these conditions are breached or if the client relationship is terminated.

3. Intellectual Property

All content on the Platform — including but not limited to text, graphics, logos, icons, images, HR publications, training materials, downloadable resources, and software — is the exclusive intellectual property of PM Resources Sdn Bhd or its licensors and is protected under Malaysian copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use Platform content solely for your personal or internal business use in connection with PM Resources' services. No content may be copied, reproduced, distributed, modified, publicly displayed, sold, or used to create derivative works without the prior written permission of PM Resources.

4. Confidentiality of Portal Content

Content published in the Client Portal — including HR updates, regulatory guidance, templates, and resources — is confidential and is provided exclusively for the use of registered clients. You agree not to disclose, share, or distribute such content to third parties without the prior written consent of PM Resources. This obligation survives the termination of your portal access.

5. Acceptable Use

You must not use the Platform to:

• Transmit any unlawful, harmful, defamatory, obscene, or otherwise objectionable content.
• Attempt to gain unauthorised access to any part of the Platform, server, or network.
• Introduce viruses, malware, or other harmful code.
• Engage in any activity that disrupts, overloads, or impairs the Platform's infrastructure.
• Use automated tools (bots, scrapers, crawlers) to extract data from the Platform without our express written consent.
• Impersonate PM Resources, its employees, or any other person or entity.
• Violate any applicable Malaysian law or regulation.

6. Information Accuracy & No Professional Advice

PM Resources endeavours to ensure that information published on the Platform is accurate and current. However, the content is provided for general informational purposes only and does not constitute legal, tax, HR, financial, or professional advice. You should not rely on it as a substitute for professional consultation tailored to your specific circumstances. PM Resources accepts no responsibility for decisions made in reliance on general content published on the Platform.

7. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. PM Resources does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Limitation of Liability

To the maximum extent permitted by Malaysian law, PM Resources Sdn Bhd, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, profits, or business opportunities — arising out of or in connection with your use of, or inability to use, the Platform or its content.

Our total aggregate liability to you in connection with these Terms shall not exceed the amounts paid by you to PM Resources, if any, in the three (3) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless PM Resources Sdn Bhd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform in breach of these Terms; (b) your violation of any applicable law or regulation; or (c) your infringement of any third-party right.

10. Third-Party Links

The Platform may contain links to third-party websites for your convenience. PM Resources does not endorse, control, or assume any responsibility for the content, privacy practices, or availability of those sites. Access to third-party sites is at your own risk.

11. Termination

PM Resources may suspend or terminate your access to the Platform at any time, without notice or liability, if you breach these Terms or if we cease operating the Platform. Upon termination, all licences and rights granted under these Terms will immediately cease. Provisions that by their nature should survive termination — including Sections 3, 4, 7, 8, 9, 12, and 13 — will continue to apply.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Malaysia, and you irrevocably submit to the personal jurisdiction of such courts.

13. Privacy

Your use of the Platform is also subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your personal data as described in the Privacy Policy.

14. Entire Agreement & Severability

These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and PM Resources with respect to your use of the Platform, and supersede all prior agreements, representations, and understandings. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
